STEPHEN S-CHAMBERS, Telegraph-street, Moorgate-street, E.C. PROSPECTUS. This company has been established to acquire all the patents and processes now owned by the "Society La Force'et La Lumifere," for the United Kingdom of Great Britain and Ireland, the Channel Islands, and the Isle of Man, under a contract dated the 29th day of March, 1881, and made between Camille Alplionse Faure lld the Socicte Anonyme La. l'ûrc et La. LmuJère, or which may hereafter be obtained by that society. The chief of these patents is Fame's Accumulator, or Secondary Battery, and the nature of the business which the comnany proposes to carry on is fully in- dicated by the memorandum of association, a copy of which is published in a fold of the prospectus. By means of Faure's Accumulators eiec'ric energy can be stored and retained, to bo re-distributed as required for the production of light and motive power. The Accumulator, indeed, bears the same relation ta electric energy as the cistern to wa.ter, and the gaso- meter to gas. light thus obtained is perfectly steady, and without glare, and its capability of sub- division and storage has now been fully established. For successful and economical application to the light- ing of mines, houses, and railway trains, Faure's Accumulator offers the exceptional advantage, that, in the event of temporary accident to or stoppage of the electric motors, there is no danger of any extinction of the light. One of the sources from which it is confidently antici- pated that this Company will derive a considerable revenue is the lighting of railway carriages to light them economically as well as effectually by electricity accumulators are absolutely necessary, as without accumulators the light would vary in intensity in pro- portion to the speed, and would be extinguished on the stoppage of the train. A brighter light CEn be obtained by means of Faure's Accumulators than that at present found in railway carriages, and at a cost, illehuling wear ald tear and renewals of incandescent lam pc, Ac., con- siderably less, The light thus obtained is indeed vastly superior, as may be seen by all inspection of the Pull- man Car Train, which has been running on the Brighton Line during the last three lllonthLlighteù by electricity supplied by Faure s Accumulator. It is difficult to enumerate in a prospectus the ends to tan re s Accumulator may eventually be applied, or to fix limits to its usefulness, but one of the most important purposes to which it may be immedi- ately and advantageously applied, is as a motive power for tramcars. According to the published accounts of the tramway companies, it may be deduced that the cost of working tramcars by electricity, in conjunction with Faure's Accumulators, would show a large margin of saving over the present system, after making due allowance for all outgoings. It is anticipated that the profits from this source alone will be considerable. The motive power may further be at once equally advantageously employed in the working of fire engines, hoists, cranes, sewing machines, lathes, &c. In the opinion of men of science, Faure's invention marks a new departure im the practical and economic application of electricity to industrial and domestic purposes, and will necessarily command gcnernl aõop- Sir William Thomson thus expressed him.-tlf about it in a letter to the" Times" The su1)ject is one in whjch I feel iIle1\;iely inter. ested, seeing in it a realisation of the most ardently and unceasingly felt scientific aspiration of my life." To an inquiry addressed to him subsequent to the opening of the Paris Electrical Exhibition in the fol- lowing terms: "Since the Faure Battery has been known and des- cribed. has there, to your Œowledge, been any other battery discovered which III any way a.pproacl1es, or can be held to be able to compete with it Sir William Thompson replied :— "No. I have I1card of several othr secondary bat- teries, but none of which approaches to the practical value 0f Faure's." It is needless to say that the commercial field for an invention of such value is a wide one so convinced indeed are Ow vendors that the shares of this Comnanv will pay dividends at a high rate that they have agreed to take" four-fifths ef their nominal purcliase money in Deferred Shares. The price to be paid by this Company for the pur- chase of Mr Faure's and all other patents and processes now owned, or which may be obtained by the SocitHd La Fr ce et La Luimere for the United Kingdom of Great Britain and Ireland, the Channel I-lands, and the Isle of Man, is the sum of Î1, cash, and 100,000 Deferred Shares of £ 1 each fully paid, and a like proportion of Deferred Shares in any further issue of capital which may be made by this Company. The net profits in each year (subject to the provisions of the Articles of Association for the establishment of a reserve fund and for the remuneration of the directors) are to be appropriated in the foUowiug order :— First.—To a cumulative preferential dividend of 10 per cent on amounts paid up ou Ordinary Shares. Sccundly.-To a cumulative dhidend of 10 per cent on like proportions of Deferred Shares (such shares for purposes of dividends only, being treated as having the same proportion paid up thereon a.s tho Ordinary Shares). And Thirdly—One-half of surplus profits to dividends on Ordinary and Deferred Shares, according to the amounts paid up or treated as paid up as above, and the other half to dividend on Deferred Shares only. The vendors undertake to pay all the preliminary and other expenses of the Company, including adver- tising, printing, and legal charges, up to and including the allotment of shares. Au agreement has been entered into, dated the 15th day of February, 1882, between John Henry Johnson of No. 47, Lincoln's-inn-fields, ill the comity of Middlesex, gentleman, of the first pert, Camille Alplionse Faure, of No. 108, Boulevard Rochecbouart.in the City of Paris, of the second part, La Force et la Lumiere a Society Anonyme, formed according to the law of Belgium, of tlie third part, and John Wiseman, of No. 12, Tresillian-road, New Cross, in the county of Kent, gentleman, of the fourth part. The above agreement, together with the memoran- dum and articles of association of the Company, can be inspected at the offices of the Solicitors of the Com- pany, If no allotment be made the deposit will be returned forthwith without deduction. Should the shares allotted to any applicant be less than the number ap- Slied for, the surplus paid on application will be cre- ited in reduction of the amount payable on allotment.
