인수합병에 있어 사업결합 회계와 다각화 할인

Abstract

본 논문은 1999년부터 2013년까지의 기간에 걸쳐 거래소에 상장된 기업 간의 인수합병 거래를 대상으로 사업결합 특유의 회계처리 효과를 감안한 데이터 분석을 통해 사업결합 회계가 합병 전후의 기업가치 변동 및 다각화 할인에 어떠한 영향을 미치는 지와 토빈 q를 이용한 연구에 있어 과대 계산된 편의가 존재하는지 여부를 실증 분석하였다. 국내 인수합병에 있어 토빈 q에 근거한 초과가치를 이용하여 다각화 할인 여부를 측정한 결과 할인 효과는 발견하지 못했으나, 사업결합 회계의 취득법을 이용하는 거래의 경우 부(-)의 초과가치를 나타내며, 이것은 통상적인 다각화 인수합병 거래는 부(-)의 초과가치를 가질 것이라는 모델의 예측결과와 일치함을 확인하였다. 또한, 인수합병 거래에 있어 사업결합 회계의 취득법을 이용할 경우 거래 프리미엄 등으로 인해 일반적으로 피합병기업의 인수합병 전 장부가액을 초과하게 되므로, 합병 직후 측정된 토빈 q는 합병 전 기업들의 포트폴리오보다 합병 후가 낮아지는 경향이 나타남을 확인하였다. 합병 형태만 고려할 경우 다각화와 취득법 그리고 대규모기업집단 여부에 따라 초과가치는 유의한 정(+)의 관계가 나타났다.

This paper examinesthe effects of accountingfor business combinationson deal excess values, firm excess values, and the diversification discount, and a significant upward bias based on q-based measures of the diversificationdiscount due to M&A activity and its accounting implications. I did not find the diversification discount using q-based measuresinM&Aactivityin Korea. Under purchase accounting, however, I found negative excess values, and since the transaction value typically exceeds the targets pre-mergerbook value, measured q tends to be lower for the merged firm than for theportfolio that combines both pre-merger entities.In consideration of the types of M&A activity, I found positive excess values in diversified acquisitions, purchasing methodacquisitions, or large conglomerates. I did not find the diversification discount using measures based on market-to-sales ratios, which arenot affected by M&A accounting.
