Abstract
Doktora tezi olarak hazırlanan bu çalışmanın konusu anonim şirketlerde birikimli oy yöntemidir. Birikimli oy yönteminin yararları ve sakıncaları belirtilerek Amerikan hukuk uygulamasında ortaya çıkan sorunlar değerlendirilip Türk hukukuna göre çözüm önerileri bu çalışmada sunulmuştur. Özellikle de konuya ilişkin Türk hukukundaki düzenlemeler ele alınıp öğretideki görüşler incelenmeye çalışılmıştır. Birikimli oy yönteminin oy yöntemlerinden biri olması hasebiyle niteliğine uygun düştüğü ölçüde düz oya ilişkin esasların birikimli oya da uygulanacağından Alman ve İsviçre hukukundaki "oy hakkına" ilişkin bilimsel görüşler ve mahkeme kararları irdelenmeye çalışılmıştır. The subject of this study, prepared as a doctoral dissertation, is the cumulative voting method in stock companies. The benefits and drawbacks of the cumulative voting method are evaluated and the problems that arise in the American legal practice are evaluated and the solution proposals according to Turkish law are presented in this study. In particular, the regulations in Turkish law on the subject were discussed and the opinions in the doctrine were tried to be examined. Since the cumulative voting method is one of the voting methods, the principles of straight voting will also be applied to the cumulative voting, as far as it suits its nature, scientific opinions and court decisions regarding the " voting right" in German and Swiss law have been tried to be examined.
